Terms of service

These terms explain how Springboard Commerce ("Springboard," "we," "us") provides website, support and SEO services, and what we each agree to. By paying for a service on this site, you ("you," "the client") agree to these terms. If you're agreeing on behalf of a business, you confirm that you're authorized to do so.

1. Our services

  • Website memberships (Bootstrapper, Standard, Premier, Platinum and Custom): a one-time setup fee to build your Shopify store, plus a monthly membership for ongoing care, support and updates.
  • Info Only Site: a one-time setup fee for a website without online sales. It has no monthly membership.
  • Support Membership: a monthly membership for Shopify store owners whose store we didn't build.
  • Add-ons and SEO memberships, sold separately.

What each plan includes is described on our pricing page and in the product description at the time you buy. That description is part of these terms.

2. Your Shopify store

  • Built in our development store, then transferred to you. We build every new website in a Shopify development store that we create. When it's ready, we transfer ownership to you. You then own the store and its content.
  • You pay Shopify directly. To accept the transfer, you choose a Shopify plan and enter your billing details with Shopify. Your store must run on Shopify's Basic plan or higher. Shopify fees, app subscriptions, domain registration and payment processing fees are paid by you to those companies, separately from our fees.
  • Existing Shopify stores. If you already have a Shopify store, we may offer to rebuild it in our development store and move your products and content over. If we work on your existing store instead, a one-time redesign fee applies, as shown at checkout.
  • Shopify's own rules apply. Your store is also subject to Shopify's terms of service. Some things, such as Shopify's checkout pages, can't be changed by us on standard Shopify plans.

3. Fees, billing and taxes

  • At checkout you pay the setup fee and your first month's membership together. The membership then bills monthly on the 1st of each month to the payment method you provided, through our subscription provider.
  • Prices are as shown at checkout. Sales tax is added where it applies.
  • Price changes. On a 24- or 36-month term, your membership price is locked for that term. On a 12-month term, your price won't change during the minimum term; after that, we may change it with at least 30 days' notice by email.
  • Failed payments. If a payment fails, we'll let you know. If it isn't resolved within 14 days, membership services pause until it is. Pausing doesn't end the membership or the minimum term.

4. Membership terms and cancellation

  • Minimum term. Each membership has the minimum term you choose at checkout (12, 24 or 36 months for website memberships, 12 months for the Support Membership, and 6 months for SEO memberships). The minimum term starts on the day you check out.
  • Cancelling during the minimum term. You can ask to stop services at any time, but the monthly payments for the rest of the minimum term remain due and will continue to be charged.
  • After the minimum term, your membership continues month to month until you cancel. You can cancel at any time by emailing us. Cancellation takes effect at the end of the billing month in which you cancel, with no further charges.
  • If you cancel, you keep your website. The store, its content, and the theme and custom sections we built for it stay on your store, and you may keep using and editing them. Our ongoing care, reports, support hours and updates end when the membership ends.

5. Setup fees and refunds

  • If you cancel before we begin work on your project (before you submit your project brief), we'll refund your setup fee and first month's membership in full.
  • Once we begin work, setup fees aren't refundable, because they pay for work already underway.
  • Add-ons can be refunded if you cancel before we begin that work.

6. The build

  • What we need from you. Your logo, brand details, product information, photos, written content (unless your plan or an add-on includes copywriting), timely answers and approvals, and the access we ask for. We'll request access through Shopify's collaborator system and similar tools. We will never ask for your passwords.
  • Timing. Most sites go live in under a week, but that's an estimate, not a guarantee. Timing depends on getting your materials and approvals, the store transfer, and your domain's DNS settings.
  • Revisions. Each plan includes the number of revision rounds listed for it. A revision round is one consolidated set of changes to the delivered design. More rounds are available as an add-on.
  • Your content. You confirm that you own, or have permission to use, everything you give us (text, images, logos, product data), and that it doesn't break any law or anyone else's rights.

7. Support and communication

  • Included support hours are listed for each plan. They reset each month and don't roll over.
  • Additional support is $50 an hour for members and $100 an hour otherwise, billed in 15-minute increments. We'll tell you the estimated time before starting work beyond your included hours.
  • Reply times are listed for each plan, in business days (Monday to Friday, excluding U.S. federal holidays).
  • We communicate by email and through our client dashboard. Phone and video calls aren't part of any plan.

8. Keeping our access in place

To deliver ongoing services, we need to keep our collaborator access and our app installed on your store. Keeping them in place is a condition of your membership. If access is removed, we'll email you, and membership services pause until access is restored; payments continue through the minimum term. We will never disable or interfere with your website, whatever the reason.

9. Term rewards

24- and 36-month website memberships include the rewards listed on our pricing page. You choose your rewards after signup, and can request them any time during your term. Rewards have no cash value and can't be exchanged for credit.

10. SEO services

  • Search engines decide rankings, so we can't guarantee any ranking, traffic or sales result.
  • We use methods that follow Google's guidelines. We never buy links or use link schemes on your behalf. Earned-media services promise outreach (such as pitches each month), not a number of links.

11. Accessibility

We build to the Web Content Accessibility Guidelines (WCAG) 2.2 at level AA, test with automated tools, fix what we find, and give you an accessibility report and an accessibility statement page at launch. Automated testing can't find every issue, and content you or others add later can create new ones, so we can't guarantee that your site meets every legal requirement. Reviews of the shopping path stop at the checkout button, because Shopify's checkout can't be changed on standard plans. A manual accessibility audit is available as an add-on.

12. Third-party services

Your site relies on services from other companies, including Shopify, apps, domain registrars, email and payment providers. We're not responsible for their outages, changes, pricing or policies, though we'll help you work through problems they cause as part of your support.

13. Ownership of our work

  • You own your content and your store.
  • The website we build for you, including its design and the theme code installed on your store, is yours to use, keep and modify on that store, during and after your membership.
  • We keep ownership of our underlying tools, templates and reusable code, and can use them for other clients. This doesn't limit your right to keep using them on your store.
  • We may list your business name and show your finished site in our portfolio. If you'd rather we didn't, just tell us.

14. Warranties and limits of liability

  • We'll perform our services with reasonable care and skill. Beyond that, services are provided "as is," to the extent the law allows.
  • We aren't liable for lost profits, lost sales or data, or other indirect or consequential losses.
  • Our total liability for any claim related to our services is limited to the fees you paid us in the 3 months before the claim arose.
  • You agree to cover claims brought against us arising from content you supplied or from your use of the site in breach of these terms.

15. Ending services

We may end services if you seriously or repeatedly break these terms, or don't pay amounts that are due, after giving you notice and a reasonable chance to fix the problem. Ending services never involves disabling your website.

16. General

  • These terms are governed by the laws of the State of Michigan. Any dispute will be handled in the state or federal courts serving [county] County, Michigan.
  • We may update these terms. We'll email current clients about material changes at least 30 days before they take effect. Changes don't affect your price or term commitments already agreed.
  • If any part of these terms can't be enforced, the rest still applies.
  • These terms, together with the plan description at the time of purchase and any written quote for a Custom project, are the whole agreement between us.
